Terms and Conditions

01 Corporate Structure & Authority

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (the “Client”, “Student”, “Guardian”, or “User”) and Eternal Cosmos (“Company”, “we”, “us”, or “our”), a parent holding company headquartered in Purba Bardhaman, West Bengal, India.

By engaging services, commissioning creative assets, retaining software development teams, enrolling in academic coaching programs, or remitting payments, you acknowledge and agree to adhere strictly to these terms.

02 Centralized Invoicing & Payment Operations

Eternal Cosmos maintains unified commercial operations, banking arrangements, and electronic payment gateway integrations for all operating divisions:

• Centralized Parent Invoicing: Although engagements are initiated under specialized brand verticals—such as brand identity through Designersaif, enterprise software through Drimo Studio, or mathematics coaching through Stellar Horizon—all formal contracts, service proposals, and commercial invoices are issued exclusively by Eternal Cosmos.
• Payment Gateway Infrastructure: All electronic transactions—including credit/debit cards, Net Banking, and instant digital payments—are securely conducted through authorized banking gateways.
• Descriptor Verification: On bank and payment statements, processed transactions will be identified under our corporate trade descriptor ETERNAL COSMOS.

03 Operating Sub-Brands & Scope of Service

Operational deliverables are fulfilled through our dedicated brand divisions:

3.1 Designersaif

Provides digital brand identities, design systems, visual guidelines, conversion-focused UI assets, and creative launch collateral. Scope, milestones, revision rounds, and acceptance terms are documented in individual Statements of Work (SOW).

3.2 Drimo Studio

Delivers enterprise web applications, full-stack software architecture, cloud hosting infrastructure, and digital performance growth marketing systems under dedicated retainer agreements and defined delivery roadmaps.

3.3 Stellar Horizon

Delivers structured mathematics education and coaching through interactive online classrooms and in-person lecture batches. Services include structured problem sheets, diagnostic evaluations, and academic mastery mentoring.

04 Fees, Currencies & Payment Schedules

• Currencies: Domestic transactions are invoiced and payable in Indian Rupees (INR / ₹). International institutional engagements may be invoiced in United States Dollars (USD / $) in compliance with applicable regulatory standards.
• Agency Engagements (Designersaif & Drimo Studio): Require milestone-based or retainer advance disbursements as stipulated in project proposals prior to deliverable release.
• Tuition Fees (Stellar Horizon): Course fees are payable in advance on a monthly or batch cycle as outlined during enrollment.

05 Intellectual Property & Ownership

Upon receipt of full and final payment, ownership of custom final client deliverables (such as approved visual brand identities and custom web codebases) transfers to the client. Eternal Cosmos retains ownership of pre-existing frameworks, developer tooling, pedagogical frameworks, course syllabi, and internal methodology.

06 Client & Student Responsibilities

Clients agree to provide timely feedback, assets, and operational access necessary to execute deliverables. Academic students and guardians agree to maintain classroom attendance, respect instructional staff, and uphold academic integrity.

07 Warranties & Limitation of Liability

All services are delivered in accordance with professional industry standards. To the maximum extent permitted by applicable law, Eternal Cosmos shall not be liable for indirect, incidental, or consequential damages arising from service usage or third-party platform interruptions.

08 Term & Termination

Either party may terminate an ongoing service agreement in writing if the other party breaches material terms and fails to cure such breach within 15 calendar days of formal notice.

09 Applicable Law & Jurisdiction

These Terms and all related commercial interactions shall be subject exclusively to the laws of India, under the jurisdiction of the competent courts in the State of West Bengal, India.
